ANONİM ŞİRKETLERDE PAY DEVRİNİN RESMİ BİR MAKAMIN İZNİNE BAĞLANMASI VE BU İZNİN HUKUKİ NİTELİĞİ SORUNU

Abstract

Anonim şirketlerde temel ilke pay devrinin serbestliğidir. Ancak bazen buserbestiye, özellikle esas sözleşmeler yoluyla sınırlamalar getirilebilmektedir. Bu tarzsınırlamalara öğretide “bağlam” denilmektedir. Bunun yanında, bazen de devletin finanspolitikasının bir sonucu olarak, özel düzenlemelerde bazı özel nitelikteki anonim şirket-lerde pay devri için kamusal makamların izni gerekmektedir. Bankacılık Kanunu, Sigor-tacılık Kanunu, Sermaye Piyasası Kanunu gibi kanunlarda örneklerine rastlanan bu türizinlerin hukuki niteliğinin ne olabileceğinin saptanması çalışmamızın temel konusu veamacını oluşturmaktadır. Bu çerçevede, gerek yasal düzlemde, gerek bir takım tebliğ veyönetmeliklerde geçen izin mekanizmaları incelenmiş ve sonuç kısmında da bu türsınırlamaların hukukî niteliği ortaya konulmaya çalışılmıştır.One of the main respected principles in stock companies is theprinciple of transferability of shares. However, sometimes restrictions may be broughtto said freedom through after registering the status into the company’s Articles ofIncorporation. Such type of restrictions are called as ““Registered shares withrestricted””. In addition to it, permission of the public posts may also be required fortransfer of stock on certain specified joint stock companies through specialarrangements which arise from the finance policy of the state. The scope andobjective of this study is about the legal qualification of such restrictions of whichexamples may be found in Banking Law, Insurance Law, Capital Market Law. In thisframework, such permission mechanisms which are mentioned both in legal frameand also in certain circulars and regulations are reviewed and the legal qualificationsof such mechanisms are attempted to be reviewed in the Result and Discussion part ofthis article.
